Introduction and acceptance of terms

Welcome to Ascend Vitality! These Terms and Conditions (“Terms”) govern your access to and use of the website https://bckup.ascendhealth.life/ (the “Site”) and the services offered by Ascend Vitality LLC (“Ascend Vitality,” “we,” “us,” or “our”), which include providing a technology platform to facilitate asynchronous telehealth consultations and access to potential treatments (the “Services”).

By accessing the Site, creating an account, or using our Services in any way, you signify that you have read, understand, and agree to be bound by these Terms and our Privacy Policy , which is incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Site or Services.

PLEASE READ THESE TERMS CAREFULLY, AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS, INCLUDING VARIOUS LIMITATIONS AND EXCLUSIONS, AND A DISPUTE RESOLUTION CLAUSE THAT GOVERNS HOW DISPUTES WILL BE RESOLVED.

Description of services and role of Ascend Vitality

Ascend Vitality provides a technology platform that allows eligible users to:

• Complete online health assessments and questionnaires regarding specific health conditions or goals (e.g., weight loss, men’s health, women’s health, hormone balance).
• Connect asynchronously with independent, U.S.-licensed healthcare providers affiliated with Rimo Health or similar provider networks (“Partner Providers”). These Partner Providers review your submitted information.
• If deemed appropriate by a Partner Provider based on their independent professional judgment, receive a prescription for medication or treatment.
• Have prescriptions fulfilled and shipped directly to you by third-party licensed pharmacies (“Partner Pharmacies”).

IMPORTANT:

• Ascend Vitality Does Not Provide Medical Care: We are a technology platform facilitator, not a healthcare provider. We do not practice medicine or offer medical advice.
• Independent Providers: The Partner Providers are independent contractors, not employees or agents of Ascend Vitality. They exercise their own professional judgment in reviewing assessments and determining appropriate treatment. Ascend Vitality is not responsible for their advice, actions, or omissions.
• No Guarantee of Treatment: Using our Services does not guarantee that you will receive a diagnosis, treatment, or prescription. This is solely at the discretion of the reviewing Partner Provider based on your health information and clinical guidelines.

Eligibility

To use our Site and Services, you must:

• Be at least 18 years of age.
• Reside in the United States within one of the 50 states where our Services are offered.
• Agree to be legally bound by these Terms.
• Provide accurate and truthful information as requested.

You represent and warrant that you meet all eligibility requirements.

Medical emergencies

DO NOT USE OUR SERVICES FOR MEDICAL EMERGENCIES. If you are experiencing a medical emergency, call 911 immediately or go to the nearest emergency room. Our Services are intended for non-emergency health concerns only.

No medical advice disclaimer

Any health-related information provided on the Site (e.g., blog posts, FAQs, service descriptions) is for informational purposes only. It is not intended as a substitute for professional medical advice, diagnosis, or treatment from a qualified healthcare provider. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay in seeking it because of something you have read on this Site.

No doctor-patient relationship with Ascend Vitality

Your use of the Site and Services does not create a doctor-patient or healthcare provider-patient relationship between you and Ascend Vitality. Any such relationship is formed solely between you and the independent Partner Provider who reviews your health assessment, if applicable.

User accounts

To access certain Services, you may need to create an account. You agree to:

• Provide accurate, current, and complete information during registration and keep it updated.
• Maintain the confidentiality and security of your account password.
• Notify us immediately of any unauthorized use of your account.
• Accept responsibility for all activities that occur under your account.

Asynchronous telehealth services & consent

Our Services utilize asynchronous (“store-and-forward”) telehealth technology. This means you provide information (e.g., through questionnaires), which is then reviewed by a Partner Provider at a later time. There is no real-time interaction. By using our Services, you consent to:

• Participate in asynchronous telehealth consultations.
• The review of your health information by Partner Providers.
• Electronic communication regarding your health and treatment (via secure platform messages, email, etc.).
• Understand the potential risks and limitations of telehealth, including delays in evaluation and the absence of a physical examination.

Third-party providers (Rimo health network & pharmacies)

Ascend Vitality relies on independent third parties, including Partner Providers (affiliated with Rimo Health or similar networks) and Partner Pharmacies, to provide clinical review and medication fulfillment. While we facilitate access to these providers, we do not control their operations or services. You acknowledge that Ascend Vitality is not liable for the acts, omissions, or services of these independent third parties.

Payment and billing

You agree to pay all fees associated with the Services you purchase. Fees are typically charged at the time you submit your health assessment or order a treatment/refill.

• Authorization: You authorize Ascend Vitality or its third-party payment processor to charge your provided payment method.
• Pricing: Prices are subject to change without notice. Current pricing is displayed on the Site.
• Recurring Charges (If Applicable): If you sign up for a subscription or auto-refill service, you authorize recurring charges to your payment method until you cancel the service according to the specified cancellation policy.

Prescription medications cannot be returned and are non-refundable once shipped by the Partner Pharmacy.

Prescriptions and fulfillment

• Prescriptions are issued solely at the discretion of the reviewing Partner Provider.
• Prescriptions are fulfilled and shipped by independent Partner Pharmacies.
• You are responsible for providing an accurate shipping address. Ascend Vitality and Partner Pharmacies are not responsible for shipments lost or delayed due to incorrect address information.
• Shipping times are estimates and not guaranteed. Title and risk of loss pass to you upon delivery to the carrier.
• All packaging is designed to be discreet.

User conduct and responsibilities

You agree not to use the Site or Services to:

• Provide false, misleading, or inaccurate information.
• Engage in any fraudulent activity.
• Violate any applicable local, state, national, or international law or regulation.
• Impersonate any person or entity.
• Transmit any viruses, worms, or other malicious code.
• Interfere with or disrupt the integrity or performance of the Site or Services.
• Attempt to gain unauthorized access to any systems or networks.

You are solely responsible for the accuracy and completeness of the health information you provide.

Intellectual property rights

The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Ascend Vitality, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may use the Site and Services only for your personal, non-commercial use.

Privacy

Disclaimers of warranties

THE SITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. ASCEND VITALITY AND ITS AFFILIATES, LICENSORS, PARTNER PROVIDERS, AND PARTNER PHARMACIES DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT GUARANTEE THAT YOU WILL RECEIVE A PRESCRIPTION OR ACHIEVE ANY PARTICULAR HEALTH OUTCOME. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ASCEND VITALITY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, PARTNER PROVIDERS, OR PARTNER PHARMACIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA) ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF ASCEND VITALITY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (I) THE TOTAL AMOUNT PAID BY YOU TO ASCEND VITALITY FOR THE SERVICES IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED U.S. DOLLARS ($100.00). [NOTE: The amount and time frame MUST be reviewed by legal counsel].

Indemnification

You agree to defend, indemnify, and hold harmless Ascend Vitality, its affiliates, licensors, Partner Providers, Partner Pharmacies, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site or Services, including, but not limited to, any use of the Site’s content, services, and products other than as expressly authorized in these Terms, or your provision of inaccurate or incomplete information.

Term and termination

These Terms remain in effect until terminated by you or Ascend Vitality. We may suspend or terminate your access to the Site or Services, in whole or in part, at any time, for any reason or no reason, without notice or liability to you, including if we believe you have violated these Terms. You may terminate these Terms by discontinuing your use of the Site and Services and closing your account, if applicable. Provisions that by their nature should survive termination shall survive (including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability).

Governing law

These Terms and any dispute arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.

Dispute resolution

• Mediation: In the event of any controversy or claim arising out of or relating to this Agreement, or the breach thereof, the parties agree to first attempt to resolve the dispute through good faith negotiation. If negotiation fails, the parties agree to submit the dispute to mediation in Sheridan, Wyoming, in accordance with the rules of the American Arbitration Association (or another mutually agreed-upon mediation service) before resorting to litigation.
• Litigation: If mediation is unsuccessful within sixty (60) days, any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Wyoming, in each case located in Sheridan County. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
• Attorneys’ Fees: The prevailing party in any legal action arising from these Terms shall be entitled to recover its reasonable attorneys’ fees and costs.

Modifications to terms

We reserve the right to modify these Terms at any time. We will post the revised Terms on the Site and update the “Last Updated” date. Your continued use of the Site or Services after the posting of revised Terms constitutes your acceptance of the changes. You are responsible for regularly reviewing these Terms.

Miscellaneous

• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Ascend Vitality regarding the Site and Services and supersede all prior agreements or understandings.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed, and the remaining provisions will remain in full force and effect.
• No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms without restriction.
